Terms of Service

These terms govern your use of the Vesper desktop app, the modules distributed for it, and the getvesperapp.com website, all provided by Vesper Technologies LLC.

1. Agreement

You accept these terms by ticking the acceptance box in Vesper, which asks when you sign in and again after these terms change. We record which version was accepted, and when. If you do not accept them, you may not use Vesper. In these terms, “we”, “us” and “our” mean Vesper Technologies LLC, and “you” means the person or organization using the software. If you are agreeing on behalf of an organization, you confirm you have authority to bind it.

The current version of these terms and of the Privacy Policy is always published at https://getvesperapp.com/terms and https://getvesperapp.com/privacy. Each carries a version identifier at the top of the page.

2. What the service is

Vesper is a desktop app for macOS and Windows. It installs and runs automation modules — separate, self-contained programs, each of which brings its own settings with it — at the times you choose, and keeps a record of what they produce on your own computer. We also supply the modules themselves and their updates. Vesper has optional features that can make changes to your computer or affect its performance, as section 10A describes.

Each module is a program we wrote for a specific website or service, and it brings its own settings with it. You choose which modules to install, whether and when to run them, and what data to give them. You are solely responsible for deciding whether running a given module against a given service is permitted by that service's terms and by the law that applies to you — we make no representation that it is. We do not run any module for you or on our own machines, and what a module produces is kept on your computer, except as described in the Privacy Policy.

3. Your account

Access requires an account with our commerce provider, Whop, and an active subscription or other right of access granted by us. You must be at least 18 years old, and you confirm that you are when you accept these terms. You are responsible for keeping your account credentials secure and for everything done under your account. Tell us promptly at support@getvesperapp.com if you believe it has been compromised.

4. Licence

While your subscription is active and you are complying with these terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use Vesper and the modules your subscription or other access covers, for your own personal or internal business purposes. The licence is for you to use the software; it does not transfer ownership of it.

You may not:

  • Copy, sell, rent, sublicense, publish or otherwise distribute the software or any module.
  • Reverse engineer, decompile or disassemble the software or any module, or attempt to derive its source code, except to the extent that applicable law expressly permits it despite this restriction.
  • Circumvent, disable or interfere with the checks that confirm your right to use Vesper or that confirm the software and its modules have not been altered, with the delivery or installation of updates, or with the limits placed on a module — or run a module outside Vesper.
  • Share your account or your access with anyone else.
  • Remove or obscure any proprietary notice.
  • Disclose anything covered by section 11A.

Some components of Vesper and its modules are supplied by others under their own licences. The restrictions above do not limit any rights those licences give you in those components.

5. Acceptable use, and what is your responsibility

This is the section that matters most, so we will be direct about it.

You are responsible for what you automate, and for the consequences of automating it. Websites and online services set their own terms, and many of them restrict or prohibit automated access, automated account creation, or automated participation in promotions. Before you run a module against a service, it is your responsibility to know that service's terms and to comply with them, along with every law that applies where you are and where that service operates. Our providing a tool is not advice that any particular use of it is permitted.

You agree not to use Vesper to:

  • Break any applicable law or regulation.
  • Access any computer system, account or data you are not authorized to access.
  • Infringe anyone's intellectual property, privacy or other rights, or process another person's personal information without a lawful basis for doing so.
  • Commit or facilitate fraud, or misrepresent your identity where identity matters.
  • Disrupt or overload any service, network or infrastructure, whether by volume of requests or otherwise.
  • Send unsolicited bulk messages.

Things a module says on your behalf. When you run a module, it fills in and submits forms as you and on your instruction. That can include a name, a date of birth, contact details, and answers to eligibility, consent or membership questions, and it can include ticking a box that accepts a sponsor's official rules or a service's terms. Some modules generate those values rather than taking them from you. Every such submission is made by you, through software you chose to run, and counts as your own statement. It is your responsibility to make sure that anything a module submits is accurate and that you are entitled to make it, and not to use Vesper where entering, opening an account or accepting terms would require a statement you are not entitled to make.

You are also responsible for anything you feed into Vesper — email addresses, postal addresses, account details, proxies and other data — including having the right to use it for what you are using it for. If you are acting for an employer or a client, that responsibility sits with you as much as with them. You are equally responsible for the data that reaches us or third parties as a result of running your modules, for example in results a module reports, error messages, diagnostic reports, logs you agree to send us, and what your modules submit. You confirm that you are entitled to provide that data for the purposes set out in the Privacy Policy, and that where it relates to another person you have a lawful basis for sharing it. If logs we ask for would contain personal information about other people that you cannot lawfully share, decline the request and describe the problem to us instead.

6. Modules

Modules interact with websites and services we do not control and which change without telling anyone. A module that works today may stop working tomorrow, and we do not warrant that any module will remain functional, available or effective. We may modify, replace, withdraw or stop supporting any module at any time. If one stops working, tell us at support@getvesperapp.com — we would rather know — but we cannot promise a fix, or a fix by any particular date.

Services can and do suspend or delete accounts they believe were created or used through automation, and sponsors can void entries. If that happens, the account or the entry is gone, and we cannot get it back for you.

Some modules require credentials or accounts with third-party services — automated verification services, proxy providers, inbox or phone-verification services. Those relationships are between you and those providers, on their terms and at your cost. We are not responsible for what those providers charge you, for how they handle your data, or for what happens if they stop working. Modules may also download and use software and services supplied by others, such as browser engines and fingerprint services, and may send those suppliers credentials you provide. When you run a module, information such as API keys, proxy details including logins, and data from your lists may be sent to the websites and third-party services the module uses, as the Privacy Policy describes.

7. Subscriptions, payment and refunds

Subscriptions are sold and billed through Whop, on the pricing and renewal terms shown to you at checkout, and are subject to Whop's own terms as well as these. Unless stated otherwise, subscriptions renew automatically until cancelled, and you can cancel at any time from your Whop account, with access continuing to the end of the paid period. Cancelling stops the next payment; it does not cut short the period you have already paid for.

Refunds follow the terms shown at checkout and are handled through Whop. If something has gone wrong on our side, write to us first — we would rather fix it.

8. Changes to the service

We are actively developing Vesper and may add, change or remove features, and may require you to install an update in order to keep using it. We will not deliberately remove a material feature you are paying for without telling you.

Vesper checks for an update when it starts and every few hours while it is open, downloads it in the background, and installs it the next time it quits. You choose when to restart, but you cannot decline an update and keep using Vesper.

9. Suspension and termination

You may stop using Vesper at any time by cancelling your subscription and uninstalling it. We may suspend or terminate your access if you breach these terms, if your subscription lapses, if we are required to by law, or if we reasonably believe your use is causing harm — including interfering with the checks that confirm your right to use the software or that confirm it has not been altered. Where it is reasonable to do so, we will tell you first. Suspension or termination stops runs that are already in progress.

When your access ends, the licence in section 4 ends with it. The rest of these terms continue to apply to your use of Vesper up to that point. Data already written to your own machine remains yours; ending your subscription does not reach back into your computer and take it away.

9A. Connectivity and enforcement

Vesper needs a working connection to our servers to run. It re-confirms your right to use it regularly while it is open, and again before and during each module run. A brief network problem is absorbed for work already under way — Vesper keeps vouching for the modules that are running for a limited time while it retries. Starting a run is different: it needs a check that succeeds, so even a short failure stops a new run — including a scheduled one — from starting, and a scheduled run that cannot start may be missed. If a failure goes on longer, the modules that are running may be paused or stopped, and a paused run may carry on later or be stopped. A check that comes back refused stops the modules that are already running.

One case is worth naming because it is ordinary: your access is for one machine at a time, so using Vesper on another computer may stop whatever is running on the first.

We do not promise any level of availability for those checks — section 12's “as available” applies to them as it does to everything else. To the fullest extent the law allows, and subject to section 13, we are not liable for work that was not performed, runs that stopped part-way, or opportunities missed because a check failed or was refused, including where it failed in error.

10. Your data

What your modules produce is written to files on your own computer — for example a database, run logs and diagnostic captures — and it is yours. Some information does reach us or third parties, for example results a module reports, error messages, diagnostic reports, logs you agree to send, and what the app and modules send to third parties, such as the websites and services you use them with. How we collect and handle personal information is described in the Privacy Policy.

Keeping your own backups is your responsibility. Vesper includes backup and restore, but the automatic backups are kept inside Vesper's own data folder on the same computer — so they protect you against a mistake or a corrupted file, not against losing the machine, reinstalling, or a disk failing. Before you move machines or reinstall, back up what you want to keep and save a copy somewhere else. Run logs, diagnostic captures and other files a run leaves behind may stay on disk. Deleting them when you no longer need them is up to you, and Vesper's backups do not cover everything on disk. We do not warrant that any backup will be created, complete or restorable, and section 12 applies to this feature as it does to the rest of the software. Files that some features keep in memory can be lost at any time, for example when Vesper quits or your computer sleeps or restarts, and your operating system may write them to disk.

Vesper and its modules store data on your computer, in Vesper's own data folder and elsewhere, such as in temporary folders. Some of it may be accessible to others, for example through other accounts or programs on that computer. Securing that computer and your account on it — keeping them free of malware and locked, and your account not shared — is your responsibility, as is anything you export out of Vesper and wherever you choose to put it, including shared drives and sync folders. Anything you export, and any backup you make, carries whatever credentials a module has stored with it.

10A. Your computer

Some optional features of Vesper can make changes to your computer, including changes that need administrator permission, such as installing drivers or services, or changing system settings or the groups your account belongs to. These changes can affect other accounts and programs on the computer, and some of them can remain after you turn a feature off or uninstall Vesper.

Some features run services on your computer that others may be able to use, for example through other programs or accounts on it. Vesper, its modules and these features can use a large share of your computer's memory, processor, graphics hardware, storage and network bandwidth, can slow or disrupt your computer, its other software and your runs, and may cause programs, drivers or the computer itself to stop responding or restart.

Whether to use these features is your choice. By using them, you authorise Vesper to make these changes, and you confirm that you are entitled to make them. Undoing them is up to you. To the fullest extent the law allows, and subject to section 13, we are not liable for the changes these features make, or for what others do with anything these features install, run or keep.

11. Intellectual property

Vesper, the modules we distribute, this website and everything in them are owned by Vesper Technologies LLC or our licensors, except the components supplied by others that section 4 describes, and are protected by intellectual property law. These terms grant you a licence to use the software, and nothing more. Feedback you send us we may use freely, without obligation to you.

11A. Confidentiality

Using Vesper gives you access to things we do not publish: how the software and its modules work and what they do, which modules exist and what each one is for, their settings and their behaviour, anything said in a members-only channel, anything we send you in support, and any build or feature we have not released. All of that is our confidential information, and it stays ours.

Keep it to yourself. Do not describe it, publish it, post it, demonstrate it, screenshot or record it, or pass it to anyone else — whether or not you are paid for it, and whether or not you believe it would do us any harm. This applies while you have access and continues after it ends.

Four things this does not stop, and we would not want it to. You may repeat anything we have published ourselves, or that has become public without you breaking this section. You may share what you must with your own lawyer or accountant, provided they are bound to keep it confidential. You may disclose whatever a court, a regulator or the law requires you to — tell us first if you are permitted to. And nothing here prevents you from reporting conduct you believe to be unlawful to a government agency, or from giving that agency information, without telling us first; nor does it prevent you from giving your honest opinion or review of Vesper.

12. Disclaimer of warranties

Vesper AND ALL MODULES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not warrant that the software will be uninterrupted, error-free or secure, that any module will work against any particular website, or that using it will produce any particular result. Some jurisdictions do not allow the exclusion of implied warranties, in which case the exclusions above apply to the fullest extent permitted.

Vesper and some modules may include, download, install or run software and AI models supplied by others — for example browser engines, browser fingerprinting engines and the services behind them, drivers, and the programs that run AI models. That software and those models are not ours. To the fullest extent the law allows, we do not warrant them or accept responsibility for them, even where we choose, supply, configure or run them. They reach you on the same “as is” basis and on their suppliers' own terms and licences.

Where a module uses an AI or vision model, the model may run on your own computer or at a hosted service, and screenshots, images or page content may be sent to it, as the Privacy Policy describes. We do not warrant any model's accuracy or accept responsibility for what it answers, and any cost it incurs, in fees or in use of your computer, is yours. A wrong answer costs an attempt like any other failure.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, Vesper Technologies LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OPPORTUNITY, OR FOR THE SUSPENSION, TERMINATION, LOSS OR LOCKOUT OF ANY ACCOUNT YOU HOLD WITH ANY THIRD PARTY, THE VOIDING OR REJECTION OF ANY ENTRY, THE LOSS OR FORFEITURE OF ANY PRIZE, REWARD OR BENEFIT, ANY DAMAGE TO, OR LOSS OF PERFORMANCE OR STABILITY OF, YOUR COMPUTER, ITS HARDWARE OR ITS OTHER SOFTWARE, ANY COST OF POWER, BANDWIDTH OR STORAGE, OR ANY AMOUNT YOU SPEND WITH AN AUTOMATED VERIFICATION, PROXY, INBOX, PHONE-VERIFICATION, FINGERPRINTING, MODEL-HOSTING OR OTHER THIRD-PARTY PROVIDER USED BY A MODULE, WHETHER OR NOT THAT MODULE PERFORMED AS INTENDED, ARISING OUT OF OR RELATING TO YOUR USE OF Vesper, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO Vesper IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR Vesper IN THAT PERIOD, OR ONE HUNDRED US DOLLARS ($100).

Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations, in which case they apply to the fullest extent permitted.

14. Indemnity

You agree to indemnify and hold harmless Vesper Technologies LLC and its members, officers and employees from any claim, demand, loss or expense (including reasonable legal fees) arising out of your use of Vesper, your breach of these terms, your violation of any law, or your violation of the terms or rights of any third party — including the terms of any website or service you direct a module at, and any claim by a person whose personal information reached us through your use of Vesper.

15. Disputes

Talk to us first. Before either of us starts a formal proceeding, the one with the complaint will write to the other and give them 30 days to put it right. Ours is the address in section 18.

Arbitration. If that does not resolve it, you and we agree that any dispute arising out of or relating to these terms or to Vesper will be resolved by binding individual arbitration under the AAA's Consumer Arbitration Rules, seated in the county where we are based, and we will pay any filing fee above what a small-claims filing would cost. Either of us may still bring a claim in small-claims court, and either of us may still go to court for an injunction to protect intellectual property or to stop unauthorised access.

NO CLASS ACTIONS. YOU AND WE EACH AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. If this paragraph is held unenforceable as to a particular claim, the whole of the arbitration agreement falls away for that claim and it goes to the courts named below — it does not become a class arbitration.

Opting out. You can opt out of the arbitration agreement and the class waiver by emailing us at the address in section 18 within 30 days of first accepting these terms, saying so. Opting out changes nothing else.

Jury trial. For anything that does reach a court, you and we each waive the right to a jury trial.

Time limit. Any claim arising out of or relating to these terms or to Vesper must be brought within one year after it arises, or it is permanently barred, to the fullest extent the law allows.

Governing law and courts. These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. For anything outside the arbitration agreement, you and we agree to the exclusive jurisdiction of the state and federal courts located in the State of New York, and each of us consents to venue there.

16. General

If any provision of these terms is held unenforceable, the rest remains in force. Our not enforcing a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These terms are the entire agreement between us about Vesper. Our Privacy Policy explains how we handle personal information.

Sections 5, 9A, 10, 10A, 11, 11A, 12, 13, 14, 15 and this section survive the end of your access and of these terms, and continue to apply to your use of Vesper before that point, as does any other provision that by its nature is meant to survive.

You confirm that you are not located in, and are not a national or resident of, any country subject to comprehensive US sanctions or embargo, that you are not on any US government denied-party or restricted-party list, and that you will not export, re-export or make Vesper available to anyone in breach of US export control or sanctions law. We may suspend or end your access immediately if that stops being true.

17. Changes to these terms

We may update these terms. When we do we will change the date and version at the top of this page, and for a material change we will give notice in the app or by email. Continuing to use Vesper after a change means you accept the updated terms.
